Procedure for Change in Particulars of DIN (Director Identification Number)

Introduction

Every individual who has been allotted a Director Identification Number (DIN) may subsequently face a situation wherein he wants to change some particular as stated in DIN application. Such changes have to be intimated to the Central Government (power is delegated to Regional Director, Northern Region) within a period of 30 days of such change(s). This has to be in conformity with Rule 12(1) of the Companies (Appointment and Qualification of Directors) Rules, 2014. Applicant is required to have a Digital Signature Certificate (DSC).

Step-by-Step Procedure to be Followed

Step 1: Filing of Forms and Documents

As per governing provisions Rule 12(1) of the Companies (Appointment and Qualification of Directors) Rules, 2014, the applicant shall download Form DIR-6 from MCA portal and fill the relevant changes. The form should be signed by the applicant using their own DSC and shall be verified digitally by a Chartered Accountant/ Company Secretary/ Cost Accountant in practice.

Further, the Form DIR-6 has to be filed electronically with the proof of the changes in conformity with Rule 12(1) of the Companies (Appointment and Qualification of Directors) Rules, 2014.

Step 2: Regional Director (RD) Approval

The RD (northern region) in conformity with Rule 12(2) of the Companies (Appointment and Qualification of Directors) Rules, 2014, upon being satisfied after verification of the changes put forth shall give effect to the changes and inform the applicant by way of letter (post or electronically) about the changes in the electronic database maintained by MCA (Ministry of Corporate Affairs).

Further, the DIN Cell of MCA shall also intimate the changes made in Form DIR-6 to the concerned Registrar(s).

Step 3: Post Compliance

As per Rule 12(4) of the Companies (Appointment and Qualification of Directors) Rules, 2014, the concerned individual shall intimate the changes in his DIN to the company/companies he is director of within 15 days of such changes.

Documents Required

This procedure requires the following documents-

  1. Proof of change in particulars.
  2. Identity proof of applicant.
    1. For Indian nationals- Income tax PAN is mandatory requirement.
    2. For foreign nationals- passport is a mandatory requirement.
  3. Residence proof- electricity bill, telephone bills, etc.

This procedure can be availed to change the particular of DIN at any time using the MCA portal.
